Dinnel moved and Berkner seconded that the following resolution be adopted:

RESOLUTION 02-052

RESOLUTION AUTHORIZING EXECUTION AND DELIVERY OF AMENDMENT NO. 1 TO THE AGREEMENT ESTABLISHING WESTERN MINNESTOA MUNICIPAL POWER AGENCY

WHEREAS, the governing body of the City of Ortonville, Minnesota, has entered into an agreement to establish the Western Minnesota Municipal Power Agency (WWMPA) or a member who has joined WMMPA; and

WHEREAS, the WMMPA membership has authorized a change to the Amendment to the Agreement in the form of Amendment No.1; and

NOW, THEREFORE, BE IT AND IT IS HEREBY RSOLVED that on the 20^th day of May, 2002, the governing body of the City of Ortonville, ratifies Amendment No. 1 to the Agreement Establishing the Western Minnesota Municipal Power Agency in the form presented to this meeting be and hereby is, approved; and

BE IT FURTHER RESOLVED, that the Mayor is authorized and directed to execute and deliver any and all such document, instrument, certificates and other papers and do such other acts and things as may be necessary or desirable to carry out the purpose and intention of this resolution.

Upon roll call vote the following voted aye: Sellin, Berkner, Arndt, Dinnel, Oakes, and the following voted nay: none.

Resolution 02-052 passed this 20^th day of May 2002.
